Skill advises on executive compensation and employee benefits issues arising in the context of mergers, acquisitions, spin-offs, initial public offerings and other extraordinary corporate events, including private equity and leveraged buyout transactions.
Skills attorneys also counsel numerous corporate and management clients on critical issues arising in the area of employee benefits and executive compensation with respect to securities law compliance and the tax impact on the company and the covered individuals (focusing in particular on applicable rules relating to deferred compensation requirements and deduction limitation rules).
Further, the attorneys in the department have extensive experience in negotiating, and in providing advice with respect to, senior executive employment contracts, golden parachute arrangements, stock options and other equity-based compensation arrangements (including issues related to option “backdating” controversies and equity compensation in private equity transactions) and other executive compensation arrangements
